These Terms of Use ("Terms") govern your access to and use of the websites, platforms, applications, and services offered by Ideas Premium Solutions, Inc. ("Ideas Premium Solutions," "we," "us," or "our"), including Plus Comply (www.pluscomply.com) and RiskyID (www.riskyid.com) (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Acceptance of Terms
By creating an account, accessing, or using any of the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
2. Description of Services
Ideas Premium Solutions provides, among others, the following Services:
- Plus Comply: a virtual corporate training platform offering courses and learning management tools in areas such as regulatory compliance, risk management, financial crime prevention, corporate governance, ESG, cybersecurity, and business ethics.
- RiskyID: a screening and risk-monitoring platform that allows organizations to verify individuals and entities against sanctions lists, Politically Exposed Persons (PEP) lists, and other risk-related data sources, using information from third-party data providers such as Dow Jones Risk & Compliance.
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable contractual commitments.
3. Eligibility and Business Use Only
The Services are intended for business and professional use by organizations and their authorized representatives. You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. The Services are not directed to, and may not be used by, individuals under 18 years of age.
4. Accounts and Registration
To access certain Services, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account or any other security breach.
5. Subscriptions, Fees, and Payment
Access to certain Services requires payment of subscription fees, usage-based fees, or one-time fees, as described in the applicable order form, quote, or invoice. Fees are due in accordance with the agreed payment terms and are non-refundable except as expressly stated in a separate written agreement or as required by law. We may suspend access to the Services for accounts with overdue payments. We may change our fees prospectively upon reasonable notice.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
- Submit for screening any information you are not legally authorized to submit;
- Use screening or training results in a manner that violates applicable law, including anti-discrimination, data protection, or consumer protection laws;
- Attempt to gain unauthorized access to the Services, other accounts, or our systems and networks;
- Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law;
- Use automated means to scrape, extract, or copy data from the Services outside of authorized API access;
- Resell, sublicense, or provide access to the Services to third parties without our prior written consent;
- Interfere with or disrupt the integrity or performance of the Services;
- Upload or transmit viruses, malware, or other harmful code.
7. Customer Data and Third-Party Data Submitted for Screening
You are solely responsible for the accuracy and lawfulness of any data you submit to the Services, including personal data about your employees, customers, vendors, or other third parties submitted for screening or training purposes. You represent that you have all necessary rights, consents, and legal bases to submit such data and to use the results generated by the Services. You agree to comply with applicable data protection and privacy laws in connection with your use of the Services.
8. Intellectual Property
The Services, including all software, content, trademarks, logos, course materials, screening methodologies, and underlying technology, are owned by Ideas Premium Solutions or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. No other rights are granted.
9. Confidentiality
Each party agrees to protect the other party's confidential information using at least the same degree of care it uses to protect its own confidential information of a similar nature, and not to disclose such information to third parties except as necessary to perform under these Terms or as required by law.
10. Third-Party Services and Data Providers
Certain Services rely on data and content provided by third parties, including Dow Jones Risk & Compliance. We do not guarantee the accuracy, completeness, or timeliness of third-party data, and we are not responsible for errors or omissions in that data. Your use of any third-party services linked from or integrated with our Services is subject to the terms and privacy policies of those third parties.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SCREENING RESULTS PROVIDED THROUGH RISKYID ARE PROVIDED FOR INFORMATIONAL PURPOSES TO SUPPORT COMPLIANCE PROCESSES AND DO NOT CONSTITUTE LEGAL, INVESTMENT, OR COMPLIANCE ADVICE. WE DO NOT GUARANTEE THAT SCREENING RESULTS ARE COMPLETE, ACCURATE, OR FREE OF ERROR, AND CUSTOMERS REMAIN SOLELY RESPONSIBLE FOR THEIR COMPLIANCE DECISIONS AND OBLIGATIONS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IDEAS PREMIUM SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APPLICABLE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Ideas Premium Solutions and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.
14. Term and Termination
These Terms remain in effect for as long as you use the Services. We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms or non-payment of fees. Upon termination, your right to use the Services will immediately cease, and any provisions that by their nature should survive termination (including Sections 8, 9, 11, 12, 13, and 16) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Services shall be resolved in the state or federal courts located in Lee County, Florida, and you consent to the personal jurisdiction of such courts.
16. Changes to these Terms
We may update these Terms periodically to reflect changes in our Services, technology, legal requirements, or business practices. The updated version will be posted on our website with an updated effective date. Continued use of the Services after updated Terms are posted indicates acceptance of the updated Terms, to the extent permitted by law.
17. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and us regarding the Services.

3. Elegibilidad y uso exclusivamente comercial
Los Servicios están destinados al uso comercial y profesional por parte de organizaciones y sus representantes autorizados. Usted debe tener al menos 18 años de edad y capacidad legal para celebrar un contrato vinculante a fin de utilizar los Servicios. Los Servicios no están dirigidos a, ni pueden ser utilizados por, menores de 18 años.
4. Cuentas y registro
Para acceder a determinados Servicios, debe registrar una cuenta y proporcionar información precisa, actual y completa. Usted es responsable de mantener la confidencialidad de sus credenciales de acceso y de toda la actividad que ocurra bajo su cuenta. 5. Suscripciones, tarifas y pagos

Las tarifas son exigibles conforme a los términos de pago acordados y no son reembolsables, salvo que se indique expresamente en un acuerdo escrito por separado o cuando lo exija la ley. Podemos suspender el acceso a los Servicios en cuentas con pagos atrasados. Podemos modificar nuestras tarifas de forma prospectiva mediante aviso razonable.
6. Uso aceptable
Usted se compromete a no:
- Utilizar los Servicios con fines ilícitos o en violación de cualquier ley o regulación aplicable;
- Enviar para screening información que no esté legalmente autorizado a enviar;
- Utilizar los resultados de screening o de formación de manera que viole la ley aplicable, incluyendo leyes contra la discriminación, protección de datos o protección al consumidor;
- Intentar obtener acceso no autorizado a los Servicios, a otras cuentas o a nuestros sistemas y redes;
- Realizar ingeniería inversa, descompilar o intentar extraer el código fuente de los Servicios, salvo que la ley lo permita;
- Utilizar medios automatizados para extraer o copiar datos de los Servicios fuera del acceso autorizado por API;
- Revender, sublicenciar o proporcionar acceso a los Servicios a terceros sin nuestro consentimiento previo por escrito;
- Interferir con o afectar la integridad o el desempeño de los Servicios;
- Cargar o transmitir virus, malware u otro código dañino.
7. Datos del cliente y datos de terceros enviados para screening
Usted es el único responsable de la exactitud y licitud de los datos que envíe a los Servicios, incluyendo datos personales sobre sus empleados, clientes, proveedores u otros terceros enviados para fines de screening o formación. Usted declara que cuenta con todos los derechos, consentimientos y bases legales necesarios para enviar dichos datos y utilizar los resultados generados por los Servicios. Usted se compromete a cumplir con las leyes de protección de datos y privacidad aplicables en relación con su uso de los Servicios.
8. Propiedad intelectual
Los Servicios, incluyendo todo el software, contenido, marcas, logos, materiales de los cursos, metodologías de screening y tecnología subyacente, son propiedad de Ideas Premium Solutions o de nuestros licenciantes y están protegidos por las leyes de propiedad intelectual. Sujeto al cumplimiento de estos Términos, le otorgamos una licencia limitada, no exclusiva, intransferible y revocable para acceder y utilizar los Servicios para sus fines comerciales internos. No se otorgan otros derechos.
9. Confidencialidad
Cada parte se compromete a proteger la información confidencial de la otra parte utilizando al menos el mismo grado de cuidado que utiliza para proteger su propia información confidencial de naturaleza similar, y a no divulgar dicha información a terceros salvo que sea necesario para cumplir con estos Términos o cuando lo exija la ley.
10. Servicios de terceros y proveedores de datos
Ciertos Servicios dependen de datos y contenido proporcionados por terceros, incluyendo Dow Jones Risk & Compliance. No garantizamos la exactitud, integridad o actualidad de los datos de terceros, y no somos responsables por errores u omisiones en dichos datos. Su uso de cualquier servicio de terceros enlazado desde o integrado con nuestros Servicios está sujeto a los términos y políticas de privacidad de esos terceros.
11. Exclusión de garantías

LOS RESULTADOS DE SCREENING PROPORCIONADOS A TRAVÉS DE RISKYID SE OFRECEN CON FINES INFORMATIVOS PARA APOYAR PROCESOS DE CUMPLIMIENTO Y NO CONSTITUYEN ASESORÍA LEGAL, DE INVERSIÓN NI DE CUMPLIMIENTO. 12. Limitación de responsabilidad

13. Indemnización
Usted se compromete a indemnizar, defender y mantener indemne a Ideas Premium Solutions y a sus directivos, empleados y agentes frente a cualquier reclamo, daño, pérdida, responsabilidad y gasto (incluyendo honorarios razonables de abogados) que surja de o esté relacionado con su uso de los Servicios, su incumplimiento de estos Términos o su violación de cualquier ley aplicable o derecho de terceros.
14. Vigencia y terminación
Estos Términos permanecerán vigentes mientras usted utilice los Servicios.
